1. Application
These Terms and Conditions apply to quotations, proposals, service orders, purchase orders, service level agreements and security services supplied by Alpha Kilo unless a signed written agreement states otherwise.
2. Service scope
Alpha Kilo provides private security services, which may include guarding, access control, patrol support, alarm response coordination, surveillance support, incident reporting, risk awareness, protection services, client reporting and related security support. The final scope is limited to the services expressly agreed in writing.
3. Quotation and acceptance
A quotation is valid only for the period stated in the quotation. A quotation may be accepted by written acceptance, signed service agreement, purchase order, deposit payment or any other written instruction accepted by Alpha Kilo. Alpha Kilo may withdraw or revise a quotation before acceptance.
4. Client information and site assessment
The client must provide accurate site information, risk information, access rules, emergency contacts, maps, operational rules, hazards, required permits, work instructions and any special conditions required for service delivery. Alpha Kilo may adjust pricing or service arrangements if the actual site conditions differ materially from the information provided.
5. Client obligations
The client must:
- provide safe and lawful access to the site;
- provide reasonable facilities required for personnel deployed to site;
- provide accurate instructions and update Alpha Kilo about material risk changes;
- not instruct Alpha Kilo personnel to perform unlawful, unsafe or out-of-scope duties;
- appoint an authorised contact person for operational instructions;
- pay invoices on time;
- treat Alpha Kilo personnel with dignity and in accordance with applicable law;
- notify Alpha Kilo promptly of incidents, complaints, hazards or changes affecting service delivery.
6. Personnel and deployment
Alpha Kilo will deploy personnel reasonably suited to the agreed scope and regulatory requirements. The client may not employ, solicit, transfer or engage Alpha Kilo personnel directly during the contract or for 12 months after termination without Alpha Kilo's written consent.
7. Service levels and reporting
Service levels, occurrence book procedures, incident reporting, patrol requirements, control-room communication, client meetings, escalation procedures and site-specific instructions must be set out in the service schedule, quotation or service level agreement.
8. Payment terms
Unless otherwise agreed in writing, invoices are payable within 7 days of invoice date for once-off services and monthly in advance for recurring services. Alpha Kilo may require a deposit, upfront payment, purchase order or credit approval before deployment.
9. Late payment
If payment is late, Alpha Kilo may charge interest to the extent permitted by law, suspend services after written notice, withhold reports or documents that are not legally required to be released, or terminate the service. The client remains liable for services rendered, agreed minimum charges and reasonable collection costs.
10. Changes and additional services
Any additional hours, personnel, equipment, travel, emergency deployment, public-holiday work, overtime, risk escalation or out-of-scope instruction may be charged at Alpha Kilo's applicable rates unless included in the written agreement.
11. Compliance
Alpha Kilo will conduct its services in a manner consistent with applicable South African law and relevant private security regulatory requirements. The client must also comply with laws applicable to the site and services, including health and safety, labour, data protection, access control and emergency requirements.
12. No guarantee of incident prevention
Security services reduce and manage risk but do not eliminate risk. Alpha Kilo does not guarantee that theft, loss, damage, unauthorised access, injury, unlawful conduct or other incidents will not occur.
13. Limitation of liability
To the extent permitted by law, Alpha Kilo's liability is limited to direct proven loss caused by Alpha Kilo's gross negligence or wilful misconduct and is capped at the total fees paid by the client to Alpha Kilo for the affected service during the one month immediately preceding the event giving rise to the claim. Alpha Kilo is not liable for indirect, special or consequential loss, loss of profit, loss of revenue, reputational loss or loss arising from the client's instructions, site conditions, third-party conduct or events beyond Alpha Kilo's reasonable control.
14. Exclusions
Alpha Kilo is not liable for loss arising from inaccurate client information, unlawful client instructions, failure by the client to implement recommended controls, defective client equipment, unreported site risks, force majeure events, third-party service failures, public disorder, criminal conduct by third parties, or circumstances outside the agreed service scope.
15. Insurance
The client is responsible for insuring its property, assets, business interruption, employees, visitors and third-party liabilities unless otherwise expressly agreed in writing. Alpha Kilo's services do not replace the client's insurance obligations.
16. Confidentiality
Both parties must protect confidential information received through the service relationship and may not disclose it except where required for service delivery, legal compliance, professional advice, enforcement of rights or with written consent.
17. Personal information
The parties must process personal information in accordance with POPIA. The client must ensure that any personal information shared with Alpha Kilo is lawfully shared and necessary for the agreed services.
18. Suspension and termination
Either party may terminate a recurring service by giving 30 days' written notice unless a different notice period is agreed. Alpha Kilo may suspend or terminate immediately where there is non-payment, unlawful instruction, serious safety risk, abuse of personnel, material breach, regulatory risk or reputational risk.
19. Force majeure
Alpha Kilo is not liable for failure or delay caused by events beyond its reasonable control, including natural disasters, power failures, strikes, riots, civil unrest, government restrictions, pandemics, network failure, infrastructure failure or public emergency.
20. Dispute resolution
The parties must first attempt to resolve disputes through good-faith management engagement. If unresolved, either party may refer the dispute to mediation, arbitration or a competent South African court as permitted by the written agreement and applicable law.
21. Governing law
These Terms and Conditions are governed by the laws of the Republic of South Africa.
